Welcome to Chatica, a trading name of Phoenix Digital Limited. These Terms and Conditions (“Terms”) govern your access to and use of Chatica (the “Service”), which is provided by Phoenix Digital Limited, a company incorporated in Hong Kong (“we,” “us,” or “our”).
By using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
1. Use of Service
You must be at least 18 years old to use our Service. You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations.
2. User Accounts
To access the Service, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3. Subscription & Billing
Access to the Service may require a paid subscription.
• Billing Cycle: Subscriptions are billed on a monthly, quarterly, or annual basis unless otherwise stated.
• Renewal: Subscriptions renew automatically unless cancelled before the end of the current billing cycle.
• Cancellation: You may cancel your subscription at any time from your account settings.
• Add-ons: Additional charges may apply for usage-based add-ons, such as message credits or other premium features, which will be billed separately or alongside your subscription.
• Refunds: We do not offer refunds for any portion of the billing cycle, including unused add-ons or partial usage.
4. Intellectual Property
All content, trademarks, and technology used in connection with the Service are the property of Phoenix Digital Limited or its licensors. You may not copy, modify, distribute, or reverse engineer any part of the Service.
5. Acceptable Use
You agree not to:
• Use the Service for any unlawful or fraudulent purpose;
• Interfere with or disrupt the integrity or performance of the Service;
• Attempt to gain unauthorized access to the Service or its related systems.
6. Termination
We may suspend or terminate your access to the Service at our discretion, without notice, if you violate these Terms or use the Service in a manner that could harm us or others.
7. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, either express or implied. We disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.
8. Limitation of Liability

11. Service Availability
We strive to provide a reliable and consistent Service. However, the availability of our Service is dependent on third-party providers including but not limited to OpenAI (ChatGPT), Anthropic (Claude), xAI (Grok), and DigitalOcean. While we aim for maximum uptime, we cannot guarantee uninterrupted access due to the reliance on these external providers. We disclaim any liability for downtime or service disruptions caused by these third parties.
We utilize zero-downtime deployments and our infrastructure provider, DigitalOcean, supports zero-downtime maintenance. In the unlikely event of service disruption or unforeseen outages, we will make reasonable efforts to notify users via email as soon as possible.
13. Scope of Service
We offer both self-service (DIY) and fully managed (DFY) options:
• DIY: Customers configure and manage their own AI Assistant(s) using the tools provided via our platform. You are responsible for the setup, content, and ongoing management of your assistant(s).
• DFY: We handle setup, configuration, and ongoing updates based on the requirements you provide. You are responsible for providing timely and accurate information for us to complete the setup.
Any scope of work, timelines, or deliverables related to DFY services may be outlined in separate onboarding documentation or service agreements.
14. Customer Responsibilities
You are responsible for:
• Ensuring the accuracy of any content, prompts, or workflows you input or request us to input.
• Securing any necessary consents or legal clearances for data you provide or collect through the AI Assistant.
• Reviewing and testing your assistant’s output for quality and compliance, regardless of whether it is set up by us or by you.
16. Data Privacy & Security
We take data privacy and security seriously. While using our Service, you may submit information that is considered personal, confidential, or proprietary. We process and store this data in accordance with our [Privacy Policy] and follow industry-standard practices to secure it.
However, no system is completely secure. You acknowledge that you use the Service and submit data at your own risk. It is your responsibility to ensure compliance with data protection laws relevant to your jurisdiction and business.
17. Third-Party Services
Our platform may integrate with or rely on third-party services. We do not control and are not responsible for the content, functionality, or policies of these services. Your use of any third-party services is at your own risk and subject to their respective terms and policies.

These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Hong Kong.
